Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

(a) As previously reported, Chanticleer Holdings, Inc., a Delaware corporation (“Chanticleer”, “we”, “us”, “our” or the “company”) did not regain compliance with Listing Rule 5550(a)(2) and received a delisting determination from Nasdaq on February 14, 2017. We appealed the Staff’s determination to a hearings panel, which appeal stayed the suspension of our securities pending the panel’s decision. The hearing was held on March 30, 2017 and the panel extended the deadline for us to regain compliance with Listing Rule 5550(a)(2) to June 16, 2017.

 

Our Board of Directors previously approved a proposal for a reverse stock split at a ratio of 1-for-2 up to 1-for-10 to be included in our proxy statement for our upcoming Annual Meeting that is set for Monday May 15, 2017. The Board will retain discretion to determine the exact ratio of the split and to effect the split with the purpose of increasing the share price of our common stock to or above $1.00. Provided our stockholders’ approval is obtained, the Board intends to effect the reverse split promptly after the annual meeting. Our Preliminary Proxy Statement on Schedule 14A was filed with the Securities Exchange Commission on April 3, 2017.
