On May 5, 2014, the Company announced it has increased its ownership stake in Hooters restaurant in Campbelltown, Australia from 49% to 60%. In addition, the Company increased its ownership stake to 60% in the two new stores under construction in Townsville and Surfers Paradise, Australia. The Company will consolidate these entities beginning with the Quarterly Report on Form 10-Q for the quarter ending June 30, 2014. During April 2014, Just Fresh opened its sixth location in BB&T Ballpark, the stadium for the Chicago White Sox AAA baseball affiliate. On May 12, 2014, Just Fresh announced the signing of a lease for its seventh location in Charlotte, NC. The Company is currently seeking to raise funds privately either through debt or equity financing. As of May 12, 2014, the Company has received $150,000 through the private sale of equity securities in transactions exempt from registration under Section 4(a)(2) of the Securities Act and Rule 506 of Regulation D promulgated thereunder. The Company anticipates raising additional capital from the sale of equity or debt securities during the remainder of 2014, although there can be no assurance that it will be able to do so. |
